Terms of Service
This agreement governs your use of Logifit's fatigue management platform and related services. Please read these terms carefully before accessing or using our products.

By accessing or using any Logifit service — including the Pre-Work Assessment platform, In-Cabin Driver Monitoring System (DMS), or the Ops Platform — you agree to be bound by these Terms of Service and all applicable laws and regulations.
If you are entering into this agreement on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these terms. If you do not agree to these terms, you may not access or use the services.
Logifit reserves the right to update these terms at any time. Material changes will be communicated via email or in-platform notification at least thirty (30) days prior to taking effect. Continued use of the services after such notice constitutes acceptance of the revised terms.
2. Description of Services
Logifit provides an enterprise fatigue management ecosystem consisting of three core products: (1) Pre-Work Assessment — preventive fatigue evaluation using wearable biometric data and psychomotor vigilance testing; (2) In-Cabin DMS — real-time driver monitoring using computer vision AI for fatigue, microsleep, and distraction detection; and (3) Ops Platform — a multi-tenant SaaS management dashboard with analytics, clinical modules, and API integrations.
Services may include associated hardware (smartbands, AI cameras, compute modules), mobile applications, web-based dashboards, 24/7 monitoring center support, and API access. The specific services provided to your organization are defined in your executed Service Agreement or Order Form.
Logifit continuously improves its platform and may introduce new features, modify existing functionality, or discontinue certain capabilities with reasonable notice to affected clients.
3. Account & Access
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. Each authorized user must have a unique login; sharing credentials between individuals is prohibited.
You must promptly notify Logifit of any unauthorized use of your account or any other breach of security. Logifit will not be liable for any loss arising from your failure to safeguard your login information.
Account administrators are responsible for managing user access, including promptly removing access for personnel who are no longer authorized to use the platform. Logifit supports role-based access control (RBAC) and recommends its use for all enterprise deployments.
4. Acceptable Use
You agree to use the services only for their intended purpose: occupational fatigue risk management and workplace safety. You shall not use the services for any unlawful purpose, to harass or discriminate against workers, or in any manner inconsistent with applicable labor and privacy regulations.
Prohibited activities include: reverse-engineering, decompiling, or disassembling any Logifit software; attempting to gain unauthorized access to any system or network; transmitting malware or any harmful code; using the platform to make employment decisions based solely on automated processing without human review; and reselling, sublicensing, or redistributing the services without prior written consent.
Logifit reserves the right to suspend access if it reasonably believes that a violation of these acceptable use terms has occurred, after providing notice and a reasonable opportunity to cure where practicable.
5. Data & Privacy
Your use of the services is also governed by our Privacy Policy, which describes how we collect, process, store, and protect personal and biometric data. The Privacy Policy is incorporated into these Terms by reference.
For enterprise clients, data processing activities are further defined in the Data Processing Agreement (DPA) executed as part of your Service Agreement. The DPA specifies data controller/processor roles, sub-processor lists, data retention periods, and cross-border transfer mechanisms.
Logifit processes sensitive data including biometric information (sleep patterns, heart rate variability), physiological measurements (reaction times, fatigue indicators), and health-related assessments. All such data is handled in accordance with applicable data protection laws including GDPR, LGPD, and local regulations in each jurisdiction where we operate.
6. Intellectual Property
All intellectual property rights in the Logifit platform, including software, algorithms, machine learning models, documentation, trademarks, and trade secrets, are and shall remain the exclusive property of Logifit S.A.C. Nothing in these terms transfers any ownership rights to you.
Subject to your compliance with these terms and payment of applicable fees, Logifit grants you a limited, non-exclusive, non-transferable, revocable license to access and use the services for your internal business operations during the term of your subscription.
Any feedback, suggestions, or improvement ideas you provide regarding the services may be used by Logifit without restriction or obligation to compensate you. You retain ownership of your data; Logifit may use anonymized and aggregated data for product improvement and research purposes.
7. Service Availability
Logifit targets 99.9% uptime for the Ops Platform and web-based services, measured on a monthly basis. Specific uptime commitments and service level agreements (SLAs) are defined in your Service Agreement.
Scheduled maintenance windows are communicated at least 48 hours in advance and are typically performed during off-peak hours. Emergency maintenance may be performed without advance notice when necessary to protect the security or integrity of the platform.
Logifit shall not be liable for service interruptions caused by force majeure events including, but not limited to, natural disasters, government actions, war, terrorism, pandemics, internet disruptions, or third-party infrastructure failures beyond our reasonable control.
8. Limitation of Liability
To the maximum extent permitted by applicable law, Logifit's total aggregate liability for any claims arising out of or related to these terms or the services shall not exceed the total fees paid by you during the twelve (12) months immediately preceding the event giving rise to the claim.
In no event shall Logifit be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, regardless of the theory of liability.
The services are designed to assist in fatigue risk management but do not guarantee the prevention of all accidents or incidents. Users retain full responsibility for their safety management systems and operational decisions. Logifit's platform is a support tool and does not replace professional medical judgment or regulatory compliance obligations.
9. Indemnification
You agree to indemnify, defend, and hold harmless Logifit S.A.C., its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to: (a) your use of the services in violation of these terms; (b) your violation of any applicable law or regulation; or (c) any third-party claim resulting from data you process through the platform.
Logifit will promptly notify you of any such claim and will provide reasonable cooperation in the defense of the claim at your expense. Logifit reserves the right to assume exclusive control of the defense of any matter subject to indemnification by you.
10. Termination
Either party may terminate the Service Agreement in accordance with the terms specified therein. Logifit may also suspend or terminate access immediately if you materially breach these Terms of Service and fail to cure such breach within fifteen (15) days of receiving written notice.
Upon termination, your right to access the services ceases immediately. Logifit will provide a data export period of thirty (30) days following termination, during which you may request export of your data in standard formats. After this period, Logifit may delete your data in accordance with its data retention policies.
Sections relating to intellectual property, limitation of liability, indemnification, governing law, and any other provisions that by their nature should survive, will survive termination of these terms.
11. Governing Law
These Terms of Service shall be governed by and construed in accordance with the laws of the Republic of Peru, without regard to its conflict of law provisions.
Any disputes arising from or relating to these terms or the services shall be submitted to the exclusive jurisdiction of the competent courts located in Lima, Peru. The parties agree to submit to the personal jurisdiction of such courts.
For international clients, Logifit may agree to alternative dispute resolution mechanisms, including arbitration under the rules of the International Chamber of Commerce (ICC), as specified in the applicable Service Agreement.

Written notices should be sent to: Logifit S.A.C., Lima, Peru. Notices sent by email will be deemed received on the business day following transmission. Notices sent by registered mail will be deemed received five (5) business days after posting.
